Terms & Conditions
These terms govern the use of this website and the engagement of S Project services. By using the site or engaging a service, you accept them.
1. Who we are
S Project is a client acquisition consultancy. Together with our client's team, we design and implement their company's acquisition system. We are not an advertising agency, and we do not run campaigns on behalf of third parties without being accountable for the outcome.
The service is provided by S Project LLC, a company incorporated in the State of Wyoming, USA, with registered address at 30 North Gould Street, STE N, Sheridan, WY 82801, USA. For any question regarding these terms, write to hola@sprojectagency.com.
2. The service
We work under two models, set out in the commercial proposal delivered to you before we start: a monthly retainer, or a revenue share arrangement on what the system generates. The exact scope, timeline, price and payment terms of each project are fixed in that proposal, which forms part of these Terms and prevails over them where they conflict.
We do not guarantee any specific revenue figure, number of clients or particular outcome. What we guarantee is the work: the design of the system, its implementation and the agreed support. Any estimate given during commercial conversations is indicative, based on comparable cases, and never a contractual promise unless expressly recorded as such in the signed proposal.
3. Price and payment
The price, currency and payment schedule are those stated in the relevant proposal or invoice. Payments are processed through Stripe; we do not store your card details, which Stripe handles directly under its own terms.
Unless the proposal states otherwise, payments made are non-refundable once the service has begun. Full detail is set out in our Refund Policy.
4. Your obligations
For the system to work we need, from your side: access to the necessary tools and accounts, accurate information about your business, and reasonable availability from your team during implementation. Delays caused by lack of access or lack of response on your side may affect the agreed timeline, and that is not our responsibility.
5. Confidentiality
Both parties undertake to keep confidential the commercial, technical and financial information they become aware of in connection with the service, and not to disclose it to third parties except where legally required or with the other party's prior consent.
6. Ownership
Each party retains ownership of what it already had before we started. What is developed specifically for your company during the project — the system, its processes, the materials created for you — is assigned to you for your use on the terms set out in the signed proposal. S Project's own methods, templates and methodology remain the property of S Project, even where applied to your case.
7. Liability
We are accountable for the work we do, not for business decisions you take on the back of it, nor for factors outside our control (changes to third-party platforms, to the market, or to your own business). To the extent permitted by law, our total liability to you for any claim relating to the service is limited to the amount actually paid for that service in the six months preceding the event giving rise to the claim.
Nothing in this section limits the rights that the law grants to consumers on a mandatory basis, where the client holds that status.
8. Use of the website
The content of this site — text, design, code and graphic elements — belongs to S Project or is used under licence, and may not be reproduced without authorisation. You agree to use the site lawfully and not to interfere with its operation.
9. Governing law and jurisdiction
These terms are governed, as a general rule, by the law of the State of Wyoming, USA. If you contract as a consumer and reside in the European Union or the United Kingdom, this does not deprive you of the protection afforded by the mandatory provisions of the law of your country of residence, which apply alongside these terms where relevant.
10. Changes
We may update these Terms to reflect changes to the service or to applicable regulation. The date of the last update appears at the top of this page. Changes do not affect projects already under way unless the law requires it.
