Terms & Conditions
1. Company identification
These Terms and Conditions govern the business consulting services provided by S PROJECT LLC (“S PROJECT”, “we”, “us”). The company is identified as follows:
2. Scope of services
S PROJECT provides business consulting services to companies and professionals in the fitness and wellness industry, including growth strategy, offer design, sales systems, marketing and client acquisition, operations and processes, automation and team performance.
Our services are provided exclusively to businesses and professionals acting in the course of their business (B2B). We do not provide medical, nutritional, psychological or training advice to consumers.
3. Engagements and agreements
Each engagement is formalized in a written proposal or agreement (the “Agreement”) that defines the scope of work, deliverables, duration, fees and payment schedule. In case of conflict between these Terms and an Agreement, the Agreement prevails.
Services are delivered remotely through scheduled video sessions, shared documents and the business tools agreed with the client.
4. Fees, invoicing and payment
Fees are stated in the Agreement in United States dollars (USD) or euros (EUR). S PROJECT LLC issues an invoice for every payment received.
Payments may be made by bank transfer or by card through third-party payment processors. Unless otherwise agreed, invoices are payable on the due date stated in them. We do not charge interest on late payments; however, we may suspend the services until outstanding amounts are paid.
Fees do not include taxes, duties or bank charges that may apply in the client’s country, which are the client’s responsibility.
5. Client responsibilities
The client agrees to provide accurate information, timely access to the people, data and tools needed to perform the services, and to implement the agreed actions within its own business. Delays caused by the client do not extend S PROJECT’s obligations beyond the agreed term unless agreed in writing.
6. No guarantee of results
S PROJECT commits to performing the agreed scope of work with professional diligence. Business results depend on factors outside our control, including market conditions and the implementation carried out by the client. Unless expressly stated in a signed Agreement, S PROJECT does not guarantee any specific revenue, profit or growth.
7. Intellectual property
All methodologies, frameworks, templates, documents and materials owned by S PROJECT prior to or independently of an engagement remain the property of S PROJECT. The client receives a non-exclusive, non-transferable license to use the materials delivered during the engagement for its internal business purposes.
Deliverables created specifically for the client become the client’s property upon full payment, unless the Agreement provides otherwise. The client may not resell, publish or distribute S PROJECT’s materials without prior written consent.
8. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party in connection with the services and to use it only for the purpose of the engagement. This obligation survives the termination of the engagement for three (3) years.
9. Limitation of liability
To the maximum extent permitted by law, S PROJECT’s total liability arising from any engagement is limited to the fees paid by the client under the relevant Agreement during the three (3) months preceding the event giving rise to the claim. S PROJECT is not liable for indirect or consequential damages, including loss of profits or business opportunities.
10. Term and termination
Each engagement lasts for the term stated in the Agreement. Either party may terminate an engagement as provided in the Agreement or, in the absence of specific provisions, by written notice if the other party materially breaches its obligations and fails to remedy the breach within fifteen (15) days of receiving notice. Fees for services already performed remain payable.
11. Governing law
These Terms and any engagement are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules, unless the Agreement provides otherwise. The parties will first attempt to resolve any dispute in good faith before initiating any proceedings.
12. Changes to these Terms
S PROJECT may update these Terms from time to time. The version published on this website at the date of signing an Agreement applies to that engagement.
